Legal terms and conditions governing our software development services and business relationship.

1. Acceptance of Terms
By engaging ReDevelopment Digital ("Company," "we," "us," or "our") for software development services, you ("Client," "you," or "your") agree to be bound by these Terms of Service ("Terms"). These Terms constitute a legally binding agreement between you and ReDevelopment Digital.
If you do not agree to these Terms, please do not use our services. By signing a project agreement, submitting a project request, or making a payment, you acknowledge that you have read, understood, and agree to be bound by these Terms.
Business Information
ReDevelopment Digital is owned and operated by Keane Audric. All services are provided under this business entity.
2. Service Description
ReDevelopment Digital provides professional software development services including, but not limited to:
- Web Development: Custom websites, web applications, and e-commerce platforms
- Minecraft Development: Custom plugins, server setup, and game modifications
- Server Management: Hosting, maintenance, and administration services
- Custom Software: Bespoke applications and business solutions
- Consultation: Technical advice and project planning services
Specific services, deliverables, timelines, and pricing will be detailed in individual project agreements or statements of work.
3. Project Agreements and Scope
Project Definition
Each project will be governed by a separate project agreement that includes:
- Detailed project scope and deliverables
- Timeline and milestones
- Pricing and payment terms
- Specific terms and conditions for that project
Scope Changes
Any changes to the agreed-upon project scope must be requested in writing and approved by both parties. Scope changes may result in additional costs and timeline adjustments.
Client Responsibilities
Clients are responsible for:
- Providing clear project requirements and feedback
- Timely provision of necessary materials, access, and information
- Making decisions and approvals within agreed timeframes
- Payment according to the agreed schedule
4. Payment Terms
Pricing and Invoicing
- All prices are quoted in USD unless otherwise specified
- Prices are valid for 30 days from the quote date
- Invoices will be sent according to the payment schedule in your project agreement
- Late payments may incur a 1.5% monthly service charge
Payment Methods
We accept the following payment methods:
- Bank transfer (ACH/Wire)
- Credit/Debit cards
- PayPal
- Cryptocurrency (for international clients)
Refund Policy
- Deposits: Non-refundable once work has commenced
- Completed Work: Payments for completed milestones are non-refundable
- Cancellation: If you cancel a project, you are responsible for payment of all work completed to date
- Disputes: Payment disputes must be raised within 30 days of invoice date
5. Intellectual Property Rights
Client-Owned Work
Upon full payment, clients will own:
- Custom code written specifically for their project
- Unique designs and content created for their project
- Project-specific documentation and materials
Company-Retained Rights
ReDevelopment Digital retains rights to:
- General methodologies, techniques, and know-how
- Reusable code libraries and frameworks developed by us
- Third-party software and tools used in development
- The right to showcase completed work in our portfolio (unless otherwise agreed)
Third-Party Rights
Some projects may incorporate third-party software, libraries, or services. Clients are responsible for ensuring compliance with all applicable licenses and terms of use.
6. Confidentiality and Non-Disclosure
Confidential Information
We understand that clients may share sensitive business information. We agree to:
- Keep all client information strictly confidential
- Use information only for the purpose of providing services
- Not disclose information to third parties without written consent
- Return or destroy confidential information upon project completion
Exceptions
Confidentiality obligations do not apply to information that:
- Is publicly available or becomes public through no breach by us
- Was known to us prior to disclosure by the client
- Is required to be disclosed by law or court order
- Is independently developed by us without use of client information
7. Warranties and Disclaimers
Service Warranties
We warrant that our services will be:
- Performed with professional skill and care
- Delivered according to the agreed specifications
- Free from material defects for 30 days after delivery
Warranty Limitations
Our warranties do not cover:
- Issues caused by client modifications or misuse
- Third-party software or service failures
- Problems arising from changes in technology or platforms
- Damage caused by unauthorized access or security breaches
Disclaimer
EXCEPT AS EXPRESSLY STATED, ALL SERVICES ARE PROVIDED "AS IS" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT.
8. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW:
Liability Cap
Our total liability for any claims arising from or related to our services shall not exceed the total amount paid by the client for the specific project giving rise to the claim.
Excluded Damages
IN NO EVENT SHALL WE BE LIABLE FOR:
- INDIRECT, INCIDENTAL, SPECIAL, OR CONSEQUENTIAL DAMAGES
- LOST PROFITS, REVENUE, OR BUSINESS OPPORTUNITIES
- DATA LOSS OR CORRUPTION
- BUSINESS INTERRUPTION OR DOWNTIME
Force Majeure
We shall not be liable for any delay or failure to perform due to circumstances beyond our reasonable control, including but not limited to natural disasters, government actions, or technical failures.
9. Termination
Termination by Client
Clients may terminate projects with written notice. Upon termination:
- Client remains responsible for payment of all work completed
- We will provide all work completed to the termination date
- Any deposits or advance payments are non-refundable
Termination by Company
We may terminate projects if:
- Client fails to make required payments
- Client breaches material terms of the agreement
- Project scope changes make continuation impractical
- Client requests work that violates laws or ethical standards
Effect of Termination
Upon termination, both parties' obligations cease except for:
- Payment obligations for work completed
- Confidentiality and intellectual property provisions
- Return of confidential information and materials
10. Support and Maintenance
Post-Delivery Support
We provide limited support after project delivery:
- Bug Fixes: 30 days of free bug fixes for defects in our work
- Minor Updates: Small updates may be provided at no charge
- Technical Support: Basic technical assistance during business hours
Extended Support
Ongoing support and maintenance can be arranged separately and may include:
- Regular software updates and security patches
- Performance monitoring and optimization
- Feature enhancements and modifications
- Priority technical support
11. Dispute Resolution
Informal Resolution
We encourage resolving disputes through direct communication. If issues arise:
- Contact us immediately to discuss the problem
- We will work in good faith to find a mutually acceptable solution
- Most disputes can be resolved through open dialogue
Formal Dispute Resolution
If informal resolution fails:
- Disputes will be resolved through binding arbitration
- Arbitration will be conducted under the rules of the American Arbitration Association
- The arbitration will take place in our business jurisdiction
- Each party will bear their own costs and fees
12. General Terms
Governing Law
These Terms are governed by the laws of [Your State/Province], without regard to conflict of law principles.
Entire Agreement
These Terms, together with any project agreements, constitute the entire agreement between the parties and supersede all prior communications and agreements.
Modifications
These Terms may only be modified in writing and signed by both parties. We may update these Terms with notice to clients.
Severability
If any provision of these Terms is found to be invalid or unenforceable, the remaining provisions will remain in full force and effect.
Assignment
Clients may not assign their rights or obligations without our written consent. We may assign our rights and obligations with notice to the client.
